Client Responsibility for Content

All site content (text and multimedia) must be provided by the client to Flutternest prior to the commencement of work. The client assumes full responsibility for ensuring the accuracy and timely delivery of all content.

Data Backup Responsibility

The client is solely responsible for maintaining a proper backup of all data on their site before Flutternest begins work. Flutternest shall not be liable for any loss or damage to existing data under any circumstances.

Scope of Work

The agreement does not obligate Flutternest to perform tasks such as data entry, web hosting, or custom artwork/graphic design unless specifically mentioned, paid for, and agreed upon in the contract. Any assets, including artwork, images, or text supplied or designed by Flutternest, will remain the property of Flutternest and/or its suppliers unless otherwise agreed.

Timelines and Delivery

While Flutternest will make every effort to meet agreed-upon timelines, delays may occur due to unforeseen circumstances, including but not limited to deployment issues, third-party dependencies, resource unavailability, or communication delays. In such cases, timeframes may be adjusted.

Intellectual Property and Permissions

The client retains copyright ownership of data, files, and graphic logos provided by them and grants Flutternest the right to use such material for the purposes of the project. The client is responsible for securing permissions for any copyrighted third-party materials and indemnifies Flutternest from claims resulting from the client’s negligence in obtaining such permissions.

Approvals and Code Ownership

Each stage of the project requires client approval and payment before proceeding to the next stage. Upon project completion and final payment, all code and material will be transferred to the client, and ownership will reside with the client. Flutternest reserves the right to showcase completed work in its portfolio unless otherwise agreed in advance.

Severability

If any provision of this agreement is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect. The parties shall negotiate in good faith to replace the invalid provision with one that closely reflects the original intent.
